Announcement PDF ASX ANNOUNCEMENT 23 October 2023 Level 28 108 St Georges Terrace PERTH WA 6000 ABN 98 103 348 947 ASX CNW Extension of time to hold 2023 Annual General Meeting Cirrus Networks Holdings Limited (ASX: CNW) (Cirrus) advises that the Australian Securities and Investments Commission (ASIC) has granted an extension of the period of time by which Cirrus must hold its 2023 Annual General Meeting (2023 AGM) by two months. Under the extension, Cirrus must hold its 2023 AGM by 31 January 2024. As announced to the ASX on 11 and 15 September 2023, Cirrus has entered into a Scheme Implementation Deed with Atturra Holdings Pty Ltd, a wholly owned subsidiary of Atturra Limited (ASX:ATA), in relation to the proposed acquisition of 100% of Cirrus’ issued shares by Atturra by way of a Court-approved scheme of arrangement (Scheme). The current indicative timetable for the Scheme provides for the implementation date of the Scheme to be in or around mid-December 2023 (subject to the relevant approvals being obtained). If the Scheme is implemented, Cirrus will be wholly-owned by Atturra and will not be required to hold an annual general meeting. As such, the Company has sought an extension of the deadline to hold its 2023 AGM from 30 November 2023 to 31 January 2024, so that there is sufficient time to determine whether Cirrus will be required to hold its 2023 AGM. This ensures that Cirrus does not incur the cost of preparing and sending a notice of the 2023 AGM to Cirrus shareholders for a meeting that would not be required to be held if the Scheme is implemented, and avoids any confusion caused by issuing the notice of 2023 AGM before the implementation of the Scheme. If the Scheme is not implemented, Cirrus will hold its 2023 AGM by 31 January 2024. Cirrus shareholders will have the opportunity to vote on the Scheme at the Court-convened Scheme meeting, scheduled to be held at 11.00am (Perth time) on Wednesday, 22 November 2023 in person at Palace Meeting Room, Ground Floor, 108 St Georges Terrace, Perth, Western Australia. Details of how to access and participate in the Scheme Meeting are contained in the Scheme Booklet announced to the ASX on 18 October 2023.
